This role is a 12-month fixed term full time maternity cover.

The Corporate Affairs role has broad dimensions but will include providing legal support to Leonardo's UK businesses on matters such as corporate governance, regulatory compliance, M&A activity in the UK, real estate and company secretarial administration of both UK and overseas legal entities.

Each legal professional will have a case load that they shall be expected to manage, subject to the appropriate level of supervision by a more senior colleague where appropriate.

All members of the Corporate Affairs team shall be expected to work on all aspects of the function's practice areas. However, it is anticipated that each member of the team will take on a level of practice area professional "ownership" such that they are the principal point of contact for the business. That shall be defined based mainly on the previous experience of the successful candidate.

Key Responsibility Areas

  • This role shall report directly into the VP Corporate Legal Affairs in the UK from a line management perspective.
  • Provide company secretarial, corporate governance and board support services to a portfolio of UK and international companies, ensuring that their needs are interpreted precisely and responded to correctly and that the client is kept regularly informed of progress and costs;
  • Providing high quality board support, coordinating agendas and papers, attending board, committee and general meetings throughout the UK, taking accurate and comprehensive minutes and circulating for review.
  • Provide support to other aspects of the Corporate Legal Affairs role, including advising the business on contracts, real estate, regulatory compliance and M&A matters (subject to experience and skills).
  • Be fully conversant with the relevant systems, procedures and services of the Corporate Legal Affairs department as a whole and to work with colleagues to ensure that the work processes of the Corporate Legal Affairs department are carried out efficiently and effectively.
  • Work closely with stakeholder colleagues, identifying ways in which we can improve on legal services delivery.
  • Work closely with other members of the Corporate Legal Affairs team in identifying areas where current systems and services can be developed.
  • Play an active role in developing and presenting business training initiatives.
  • Instructing and overseeing the work of external legal counsel.
  • You are responsible for taking reasonable care of your own health and safety and that of others who may be affected by your acts or omissions at work and to co-operate with managers, supervisors and others to enable the company to meet its statutory obligations for health, safety and environment.

Skills, Qualifications & Knowledge Required

  • Prior legal experience in corporate and commercial roles, whether gained in private practice or in house. Specialist legal knowledge of one or more of company secretariat administration, corporate governance, regulatory compliance, M&A or real estate is highly desirable.
  • Prior industry sector experience would be advantageous, but not essential.
  • A strong and effective communicator, with the ability to build effective working relationships.
  • Flexible approach that applies commercial awareness and common sense in order to adapt to this challenging environment.
  • Ability and willingness to travel in the UK and overseas.
  • Valid full UK driving license.
  • For solicitor/legal executive/barrister applicants, NQ+ in Company / Commercial. Qualified Chartered Company Secretaries will be considered.
